These terms apply to all services provided by Revival Software LLC, including, but not limited to, PHC Portal, Home Health Portal, 2067 Portal, SharePoint, HRM Portal, HR Portal, Support Ticket, Staffing Portal, Trained Virtual Employees, Network Security & Solutions, Compliance Consultation, Web Development Solutions, and other offerings listed on our website or in our service contracts.

1. Definitions

  • “Client” refers to the individual, organization, or entity that has agreed to receive services from Revival Software LLC.
  • “Service” includes all products, tools, software, and consulting provided by Revival Software LLC as listed above or on our website.

2. Service Usage

  1. Access and Use
    Revival Software LLC grants the Client a limited, non-exclusive, non-transferable license to access and use our services in accordance with these terms. Access to services is restricted to the Client and any authorized users agreed upon in the service agreement.
  2. Restrictions
    The Client agrees not to misuse any of our services, including but not limited to unauthorized access, attempting to interfere with service functionality, or reselling services without written consent.
  3. Compliance with Applicable Laws
    All services provided are subject to local, state, federal, and international laws. Clients are responsible for using our services in compliance with applicable regulations, especially regarding HIPAA, ADA, data security, and confidentiality.

3. Service-Specific Terms

  1. Portals (PHC, Home Health, 2067, SharePoint, HRM, HR, Support Ticket, Staffing)
    These portals are developed to improve specific business functions. Clients are responsible for ensuring authorized access and safeguarding credentials to maintain the security of sensitive data within each portal. Revival Software LLC reserves the right to perform routine maintenance and updates to ensure these portals are operating efficiently and securely.
  2. Trained Virtual Employees
    Revival Software LLC provides virtual employee services for various roles as requested by the Client. These trained professionals operate under the Client’s guidance but adhere to Revival Software LLC’s privacy and security standards. The Client agrees to treat virtual employees with respect and uphold Revival Software LLC’s code of conduct guidelines.
  3. Network Security & Solutions
    Our network security solutions aim to protect the Client’s digital assets from unauthorized access and cyber threats. The Client must comply with any security protocols we implement and inform us of any security incidents immediately.
  4. Compliance Consultation
    Revival Software LLC provides compliance services to help clients meet regulatory standards, including but not limited to HIPAA, ADA, and PCI DSS. These consultations are advisory in nature, and while we strive to provide accurate and up-to-date information, compliance remains the Client’s responsibility.
  5. Web Development Solutions
    Our web development services include designing, developing, and maintaining websites for optimal user experience and regulatory compliance. Clients agree to provide necessary content and approve final designs before implementation. Any website updates beyond the initial scope may incur additional fees.

4. Privacy Policy

Revival Software LLC values your privacy. We are committed to protecting your personal and business data, adhering to industry-standard data security practices. Please refer to our full Privacy Policy for details on data collection, storage, and usage.

5. Payment and Fees

  1. Invoicing and Payment Terms
    Fees for services rendered are due as agreed in the service contract. Payments must be completed in a timely manner, or additional charges may apply.
  2. Late Fees and Non-Payment
    Failure to remit payment within the specified time frame may result in service suspension until payment is received. The client is responsible for any collection costs, including legal fees.
  3. Refund Policy
    Refunds will be evaluated on a case-by-case basis, based on the specific terms outlined in the service contract. Custom software and services are non-refundable once delivered.

6. Intellectual Property

All intellectual property rights for services provided by Revival Software LLC, including portals, software solutions, design elements, and documentation, remain the exclusive property of Revival Software LLC. The Client may not copy, distribute, or create derivative works from any materials or software provided, except as explicitly allowed in writing by Revival Software LLC.

7. Limitation of Liability

To the maximum extent permitted by law, Revival Software LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use our services, even if advised of the possibility of such damages. Our liability is limited to the fees paid by the Client for the specific service in question.

8. Confidentiality

All information shared between the Client and Revival Software LLC in the course of services is confidential. Both parties agree to treat this information with the utmost care and to only disclose it as required by law or with the other party’s explicit consent.

9. Termination

Revival Software LLC reserves the right to terminate services in cases of non-payment, misuse, breach of terms, or for any other reason deemed appropriate. The Client may also terminate services with written notice as stipulated in the service agreement.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be communicated through our website, and continued use of services after changes have been made constitutes acceptance of the new terms.
